1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Catalog Caddy, a desktop application and related services (the "Service") operated by Atlas Auctions ("we," "us," or "our"). By purchasing, downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Catalog Caddy is a Windows desktop application that helps auction houses prepare photo batches for cataloging: it groups and renames photos by lot, uses image detection technology to generate suggested titles and descriptions, and produces an export formatted for use with third-party auction management software.

3. No Affiliation with Third-Party Platforms

Catalog Caddy is an independent product and is not affiliated with, endorsed by, sponsored by, or officially connected to Auction Flex, HiBid, or any other third-party auction platform. References to those platforms are solely to describe compatibility of exported files with their import features. All trademarks referenced remain the property of their respective owners.

Payments are processed by Stripe. We do not store your full payment card details.

Unused credit packs may be refunded within 14 days of purchase upon request. Credits already consumed are non-refundable. Yearly subscriptions may be cancelled at any time to stop future renewals; we do not provide prorated refunds for the current subscription period except where required by law.

You retain all ownership rights to the photos and other content you upload. By using the Service, you grant us a limited right to transmit that content to our image-detection processing provider solely to generate the requested titles and descriptions. See our Privacy Policy for details on how photos are handled.

9. Accuracy of Generated Content

Titles and descriptions generated by the Service are suggestions only, not a finished or verified product. They are produced using automated image detection technology and may contain errors, omissions, or false or misleading claims, including but not limited to incorrect item identification, condition, materials, maker's marks, attributions, age, or provenance.

You are solely responsible for independently reviewing, verifying, and editing all generated content before using it in any live auction listing or other public-facing material. The final listing content you publish, in whatever form, is your own verified work product, not ours. We disclaim all liability for any false, inaccurate, or misleading claims contained in generated content, and for any losses, disputes, or claims arising from your use of generated content without independent verification.

10. Third-Party Services

The Service relies on third-party providers, including an image detection technology provider, Stripe (payments), and Resend (email delivery). Your use of the Service is also subject to the applicable terms of those providers where relevant.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be uninterrupted, error-free, or that generated content will be accurate or complete.

12. Limitation of Liability

To the maximum extent permitted by law, Atlas Auctions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose.

13. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 7, 9, 11, and 12) will survive.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new effective date. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Pennsylvania, without regard to its conflict of laws principles.
